
How a Custom AI Model Affects Your App's Exit Valuation
Acquirers pay for defensibility. A fine-tuned model trained on proprietary data is a hard asset that increases acquisition multiples. Here's how to think about model ownership in the context of an exit.
Micro-SaaS apps sell on Acquire.com, Transferslot, and through private brokers every week. The valuations typically range from 2-4× ARR for standard SaaS to 4-8× ARR for apps with defensible moats. The difference between 2× and 6× ARR is usually one thing: how easy is it for someone else to build what you built?
A fine-tuned model trained on proprietary user data is not easy to replicate. That is worth money at exit.
How Acquirers Value SaaS Apps
Acquirers buying micro-SaaS do a mental calculation:
Revenue multiple: What multiple of ARR is this worth? (Base: 3-4× for stable SaaS)
Adjustments upward:
- Strong net revenue retention (>100%)
- Low churn (<5% monthly)
- High switching costs for users
- Proprietary data or technology
- Strong SEO / organic traffic
Adjustments downward:
- Single point of failure (founder-dependent)
- Dependent on a platform that could change (GPT-4 pricing, API deprecation)
- Thin differentiation (easily replicable by a competitor in a weekend)
The API dependency penalty: Apps that are pure GPT-4 wrappers get discounted because acquirers know OpenAI can add the same feature, change pricing, or deprecate the model. There is no defensibility. Expected multiple: 2-3× ARR, sometimes lower.
The proprietary model premium: Apps with fine-tuned models trained on proprietary data are different. The model cannot be replicated without the data. The data cannot be replicated without years of users. This is genuine defensibility. Expected multiple: 4-8× ARR.
What Acquirers Are Buying
When you sell an app with a fine-tuned model, you are selling three things:
1. The revenue stream — Standard MRR × multiple. This is the baseline.
2. The proprietary dataset — The interaction logs that trained the model. This is not just historical data; it is an ongoing collection mechanism that a new owner can continue to expand. Acquirers with AI ambitions pay a premium for labeled datasets.
3. The trained model — The GGUF file itself, the training configuration, the deployment setup. A ready-to-deploy model in a domain is worth something separate from the app. Some acquirers specifically want the model to integrate into other products.
Example calculation:
App A: GPT-4 wrapper, $50,000 ARR, 2 months retention average
- Valuation: $100,000-150,000 (2-3× ARR)
App B: Fine-tuned model trained on 18 months of proprietary user data, $50,000 ARR, 6 months retention average
- Valuation: $250,000-400,000 (5-8× ARR)
Same revenue. 2-3× difference in exit value. The difference is the model and the data it was trained on.
Building for Exit From Day One
If you have an exit in mind, optimize your model strategy accordingly:
Document the dataset. Keep clear records of: how many labeled examples, what quality signals were used, what format they are in, what base model was used for fine-tuning. Acquirers want to see this in diligence. "We have 12,000 (input, output) pairs with acceptance labels from 18 months of production" is a compelling data room item.
Version the model. Keep every model version with its training configuration. Show the accuracy improvement over versions (v1: 71%, v2: 79%, v3: 88%). This demonstrates the compounding effect and shows the acquirer what they are buying into — not a static asset, but an improving one.
Quantify the moat. "It would take a competitor 18-24 months to replicate this dataset from scratch at our current growth rate" is a moat statement that belongs in a sale document.
Highlight switching costs. If your users' data is deeply integrated with your model (the model has been trained on their specific patterns), that creates lock-in. An acquirer sees this as churn resistance.
What to Include in a Sale
Required deliverables:
- The GGUF model file(s) — all versions
- The training datasets (JSONL format)
- The Ertas project (or equivalent) with full training history
- The Ollama deployment configuration + documentation
- The data collection pipeline (code for logging and curation)
- Accuracy benchmarks and evaluation methodology
Documentation that increases valuation:
- Model performance over time (the compounding improvement story)
- Comparison to baseline GPT-4 prompting (shows the advantage)
- Infrastructure cost documentation (shows the margin advantage)
- Retraining guide (shows the new owner how to keep improving it)
The Timing Question
When should you sell? After at least 3 training iterations, if your goal is maximum value:
- Iteration 1 (month 3-4): First model trained. Shows the capability exists.
- Iteration 2 (month 6-7): Improved model with more data. Shows the compounding dynamic.
- Iteration 3 (month 9-12): Significant accuracy improvement from baseline. The trend line tells the acquisition story.
An app with one model version shows potential. An app with three increasingly accurate model versions shows a defensible moat that is already compounding.
